I would go to the agency in charge of call-outs. (Sheriff's Department for
us.) Ask them what they would like in the way of a volunteer SAR unit and
then set up a "new" group to meet this new standard. (Make sure the new
"constitution" solves the problem.) I would make it clear that all existing
members and certifications would be included, but the structure of the
organization (board, etc.) would be entirely different.

I second Ian's advice to read the unit's legal documents.
Namely, its articles of incorporation and/or current bylaws.
If the unit is a properly formed non-profit corporation,
both of these documents must exist. If the board will not
provide copies, then you can get copies from the state agency
(assuming your unit is in the US) that regulates non-profit
corporations.

Re Ian's advice to leave and start a new unit, I would argue
the opposite. As described, the unit does not sound highly
disfunctional. Perhaps it would be enough to campaign to
change the makeup of the board in the next round of elections?
On the other hand, the current board may reflect the general
will of the unit. In which case, moving to another unit or
starting a new unit may be better choices.

I certainly do not recommend being a member simultaneously
of more than one unit. Doing so, you guarantee conflicts
of interest (eg, in scheduling of team training dates) and
divided loyalties.
