CHPAC:
This morning Kate
and I met with the Town Attorney, Ralph Karpinos; Deputy Town Manager, Flo
Miller; and outside Attorney Tom Higgins to begin the process of incorporation
as a 501(c)3. Town staff brought us together with Tom to draw up the legal
documents necessary for non-profit 501(c)3 filing. Town staff is not involved in
the process, other than to make sure it is moving along to our
satisfaction.
The Incorporation
process:
1. Articles of
Incorporation are drawn up and filed with the NC Secretary of State. This
is largely a boiler-plate document with our mission statement.
2. Bylaws are drawn
up and filed with the NC Dept of Revenue. We gave him our existing by-laws as a
starting point.
3. 501(c)3
Excemption Document is drawn up and filed with the IRS. The approval of this
document is what gives us 501(c)3 status. It could take anywhere from 2 - 6
months to get approval.
The executive
committee will review these documents prior to their filing. We should
expect to start to see these by the end of this week or early next
week.
The other part of
our transition process is to draw up the contract, or performance agreement,
with the town. This will be the more complicated process, as we will need to lay
out what we expect the town to provide for us, and the town will lay out what we
provide for the town. This simultaneous process will start shortly, and we will
keep you apprised of developments.
