"Microsoft Corp. and the Securities and Exchange Commission are in
negotiations to resolve long-running SEC allegations that the company
misrepresented its financial statements to satisfy Wall Street's demands for
steady revenue and profit growth, people familiar with the matter said."

"Rather, the SEC is likely to bring civil charges that the Redmond, Wash.,
company failed to keep accurate books and records, which is considered a
relatively minor violation. In such settlements, a company typically pledges
to abide by SEC rules. People familiar with the matter say the terms of a
Microsoft settlement could still change."
