There have been changes to the IRS code and state laws recently that may have an effect on your organization's Bylaws.
1.Non-discrimination: Must be explicitly stated that organization does not discriminate against anybody joining as a member or in providing services to the public.
2.Conflict of Interest: Must be explicitly stated in Bylaws and in financial operating guidelines as to what is conflict of interest, how it is avoided, and how it is detected and sanctioned by the organization.
3.Dissolution: If the organization ceases to function its bills must be paid and assets transferred to another similar organization (same tax status or a 501c3). This transfer is supervised differently in many states but is often
required to be approved by Orphans Court or some county level court of record. This must also be stated explicitly
in the Bylaws and shall include under what conditions dissolution can be considered.
4. If you are considered an employer you should require that members be legal residents of the country and eligible for employment. In the US this means adding an I-9 to the application package.
