I think this is because vesafb and matrox cannot both use the same kernel.
The instructions in the Framebuffer HOWTO said to omit one of the things
for vesafb when compiling for Matrox or ATI (vesa framebuffer support?).
I can look it up exactly if you want.

It is smaller and loads faster than the Slackware kernels. I could try to
take your configuration and remove the vesafb part and compile for Matrox
without modules, some day. And add vfat and cd-rom support. >
